Disclaimer, Terms and Conditions (these “Terms”)
免責聲明、條款及細則 (「本條款」)

TERA-Award (the “Award”) is organized by The Hong Kong and China Gas Company Limited (the “Organiser”).
TERA-Award智慧能源創新大賽(「TERA-Award」)由香港中華煤氣有限公司(「主辦機構」)舉辦。
Please read these Terms carefully before participating in this Award.
請於參加TERA-Award前細閱本條款。

i.

(a)

By participating in this Award, you are deemed to have accepted and bound by these Terms. If you do not accept these Terms in part or in whole, please do not participate in this Award.
一經參加TERA-Award,您即被視為已接受並同意受本條款約束。如您不接受本條款的全部或部分,請不要報名參加TERA-Award。

(b)

Submissions to this Award (“Entries” or individually a “Entry”). The Entry must be an original and novel design created and owned by the applicant.  In addition, the Entry should be practical.
TERA-Award的參賽作品(「參賽作品」)。參賽作品必須為由參賽者創作和擁有的原創及新穎作品。此外,參賽作品應為一個切實可行的作品。

 

(c)

The applicant by submitting this application declares and represents that the substances of his/her submission, to the extent that they are identified as an original and novel piece of work, are work solely of his/her own, personal, intellectual effort.
參賽申請一經提交,即代表參賽者聲明並確認其所提交的內容為其本人以其智慧獨立完成的原創及新穎作品。

 

(d)

Entries may not be previously published or submitted to or by any other publisher or contest of any kind.
參賽作品不得於此前曾發表於或提交至任何其他發行商或任何形式的比賽。

 

(e)

For the purpose of these Terms, “intellectual property rights” means all intellectual property rights, whether registered, unregistered or capable of registration, now known or hereinafter derived, conceived, invented or created worldwide. Entries may not contain any elements that violate any third party’s intellectual property rights.
就本條款而言,「知識產權」指所有於全球各地已註冊、未註冊或可被註冊、已知或此後衍生、獲得、創造或產生的知識產權。參賽作品不得含有任何侵犯第三方知識產權的元素。

 

(f)

Applicants shall bear full legal and other responsibilities arising from any possible breach of any intellectual property rights and shall indemnify the Organiser against any claims, losses, damages, costs, expenses and liabilities arising from any such breach.
如有任何可能違反知識產權的情況,參賽者須承擔全部法律和其他責任,並須賠償主辦機構因參賽者違反相關約定而遭受的任何索賠、損失、索求、費用、開支及責任。

 

(g)

All Entries will be subject to these Terms including those that will be imposed by the panel of judges appointed by the Organiser (“Panel of Judges”) and the Organiser as deemed necessary.
所有參賽作品受本條款(包括由主辦機構委派的評審委員會(「評審委員會」)及主辦機構在其認為有需要時添加的相關條款)約束。

 

(h)

Applicants shall indemnify, defend and hold harmless the Organiser and, if any, the co-organisers, sponsors, co-sponsors, the strategic partners of the Award, their respective employees, consultants, contractors and agents from and against any and all losses, damage, liability and costs of every nature incurred by any of them (including but not limited to litigation costs and legal fees) in connection with any claims, damages or losses related to applicants’ own personal information and Entries, or applicants’ breach of these Terms. Applicants agree to cooperate fully in the defense of any of the foregoing. The Organiser reserves the right, at its own expense, to control exclusively the defense of any matter otherwise subject to indemnification by applicants and applicants will not settle any matter without the Organiser’s prior written consent.
如有參賽者的個人資料及參賽作品或因參賽者違反本條款導致任何索賠、損害或損失的情況,參賽者須向主辦機構及協辦機構、贊助人、聯合贊助人、TERA-Award的戰略合作夥伴和前述各單位之員工、顧問、合約方及中介(如有)作出賠償,並為前述各單位承擔任何損失、傷害、責任及各種費用(包括但不限於訴訟費及律師費),使其免受損害,並為其進行抗辯。由參賽者賠償引起的任何事宜,主辦機構保留其權利(該費用由主辦機構自行承擔)全權進行抗辯,以及未經主辦機構事先書面同意,參賽者不得自行處理任何事宜。

ii

Shortlisted applicants shall be requested to attend an interview with the Panel of Judges and/or the Organiser and the invited persons of the Organiser to present the Entry.
獲挑選入圍的參賽者須與評審委員會及/或主辦機構和主辦機構邀請的人士進行面談並陳述其參賽作品。

iii

No award may be granted if no Entry is deemed appropriate at the sole discretion of the Organiser.
主辦機構可自行決定有否合適的參賽作品,如沒有則不會頒發任何獎項。

iv

If, after an award is bestowed, any fact supplied in the respective application is discovered to be fraudulent or untrue, or the awardee is proven to be associated with a fraudulent or dishonourable act, the Organiser reserves the right to withdraw the award and re-award to another applicant in the sole discretion of the Organiser. Any award, prize and/or money that have been received by the awardee must be returned to the Organiser immediately.
如在頒發獎項後,主辦機構發現相關的得獎參賽作品的參賽申請中含有欺詐或不實情況,或得獎者獲證實有涉及欺詐或違反誠信行為時,主辦機構保留自行決定取消有關獎項並重新頒發予另一參賽者的權利。該得獎者必需即時向主辦機構退還任何已收取的獎項、獎品及/或金錢。

The Organiser reserves the right to reject or disqualify any Entry and to make or withhold any award from any entry without any explanation.
主辦機構保留拒絕或取消任何參賽作品的資格及向任何參賽作品頒發或不予頒發任何獎項的權利,而無須給予任何解釋。

vi

The decision of the Orgainser will be absolutely final and binding on all matters in relation to the Award, the process or the definitions, interpretations of these Terms, voting or any other related issues and binding on all applicants and no discussion or correspondence relating to any of its decision will be entered into.
主辦機構的裁定為絕對的終局裁定,對於TERA-Award的一切事項、本條款的處理或解釋及演繹、投票或其他相關事宜、參賽作品及參賽者均受主辦機構的裁定約束,主辦機構將不會進行任何有關裁定的討論或文書往來。

vii

The Organiser has the right to suspend or terminate (in whole or in part) any applicant’s participation in the Award, at any time at its sole discretion with or without case.
主辦機構有權於任何時候(不論有否原因)可自行決定暫緩或終止(完全或部分)任何參賽者的參賽。

viii

The Organiser has the right to amend, suspend or cancel the Award (in whole or in part) at its sole discretion with or without cause at any time the Organiser thinks appropriate and reserves the rights in its discretion to change any rules of the Award, with no liability to any person including but not limited to the applicants .
主辦機構有權於任何主辦機構認為合適的時候(不論是否有原因)可自行決定(完全或部分)修訂、暫緩或取消TERA-Award。主辦機構亦對任何人士(包括但不限於參賽者)無須承擔責任下保留自行決定修改TERA-Award任何規則的權利。

ix

All costs and expenses (including but not limited to the travelling fee and the costs of presentation) incurred by an applicant in relation to Entry and/or his/her participation in the Award shall be borne solely by the applicant.
參賽者須自行承擔其因參賽作品及/或其參賽而產生的所有費用及支出(包括但不限於差旅費及因陳述參賽作品而衍生的費用)。

All Entries remain the property of the respective applicants.  It is the responsibility of the applicant to protect his/her own registrable intellectual property rights.  The Organiser will not be liable for the loss of any intellectual property rights by the applicant as the result of the disclosure of the applicant’s design or work by the Organiser and/or, where relevant, co-organisers, sponsors, co-sponsors, the strategic partners of the Award, their respective employees, consultants, contractors and Panel of Judges.
參賽作品的所有權屬參賽者所有。參賽者有責任保障其可被註冊的知識產權。主辦機構不會承擔參賽者因主辦機構及/或協辦機構、贊助人、聯合贊助人、TERA-Award的戰略合作夥伴和前述各單位之員工、顧問、合約方及評審委員會(如適用)披露參賽者的設計或作品而招致的任何知識產權上的損失。

The Organiser, the co-organisers, the sponsors, the co-sponsors and the strategic partners of the Award shall, whether collectively or individually (subject to their own arrangements and decisions), have the right of first refusal and/or the right of first offer to acquire, purchase, fund and/or invest in, whether by means of monies, application scenarios, opportunities, resources or any other means, in whole or in part all and any of the Entries from respective applicants. For the avoidance of doubt, in no circumstances the Organiser, the co-organisers, the sponsors, the co-sponsors or the strategic partners of the Award are under any obligation to acquire, purchase, fund and/or invest in any Entries, including the entries that are granted the award.
主辦機構、協辦機構、贊助人、聯合贊助人和TERA-Award的戰略合作夥伴均共同或個別地(視乎其各自的安排和決定)就各參賽者的所有或任何參賽作品擁有作全部或部分的獲取、購買、資助及/或投資(不論是以金錢、應用場景、機會、資源的提供或其他形式)的優先購買權及/或優先報價權。為免歧異,主辦機構、協辦機構、贊助人、聯合贊助人和TERA-Award的戰略合作夥伴在任何情況下均沒有義務獲取、購買、資助及/或投資任何參賽作品(包括得獎的參賽作品)。

Any and all Entries, in part or in whole (in any format whatsoever) are not confidential and may be disseminated and disclosed by the Organizer for the purposes of administering, organizing, providing, hosting, fulfilling, promoting, marketing, advertising and/or showcasing the Award. Such data, material or information may therefore become known to the public.
所有及任何參賽作品之部分或全部(不論是何種格式) 均不屬於保密資料,主辦機構可以以管理、組織、提供、主持、實行、促進、宣傳、推廣、及/或展示TERA-Award為目的散發及披露參賽作品。因此,該等資料、材料或資訊或會被公眾知曉。

Publication or other release, announcement, dissemination of information or details in regards to any Entry is for informational purposes only and is not intended to be relied on in any way by any third party to be an endorsement, warranty, guarantee, or recommendation by the Organiser of any Entry or any applicant(s) who submitted such Entry to the Award.
所有有關任何參賽作品的刊物或其他發佈、公告、資訊或細節的散發僅作參考之用,並不擬作任何第三方在任何方面賴以視為主辦機構為任何參賽作品或提交有關參賽作品的參賽者進行背書、保證、擔保或推薦之用。

xiv

None of the information, details, documents and materials submitted with or as part of the Entry (including all supporting and materials for display or demonstration) will be returned.  The Organiser will retain or destroy all such information, details, documents and materials at its sole discretion.
所有資訊、細節、文件及材料一經與參賽作品一拼提交或作為參賽作品的一部分被提交(前述包括所有證明文件及為作展示或示範之用的材料),一概不予發還。主辦機構將自行決定是否保留或銷毀所有該等資訊、細節、文件及材料。

The Organiser has the right to require the applicants to participate in publicity events in relation to the Award and the applicants shall not unreasonably refuse to participate in same.
主辦機構有權要求參賽者出席與TERA-Award有關的公開活動,參賽者不得無理拒絕參與。

These Terms are subject to change by the Organiser when necessary. The Organiser reserves the right to amend these Terms of the Award without prior announcement.
主辦機構在需要時會更改本條款。主辦機構保留修訂本條款而毋須提前通告的權利。

Applicants shall read carefully and agree to the Organiser’s Personal Information Collection Statement, on how the Orgainser may use their personal data, by participating in this Award, applicants are deemed to have accepted the Orgainser’s Personal Information Collection Statement.
參賽者須細閱並同意主辦機構的個人資料收集聲明內有關主辦機構如何使用參賽者的個人資料。一經參與TERA-Award,參賽者即被視為已接受主辦機構的個人資料收集聲明。

To the fullest extent permitted by applicable laws, the Organiser expressly disclaims and makes no representation as to all warranties and conditions of any kind in respect of the Award, whether express or implied.
在適用法律所容許的最大範圍內,就與TERA-Award有關的細則及保證,主辦機構概不作出任何明示或暗示的保證及陳述。

To the fullest extent permitted by applicable laws, the Organiser shall not be liable to you in contract, tort (including negligence), breach of statutory duty or otherwise for any loss, damages, costs or expenses whatsoever (including whether general, special, indirect, direct, nominal, punitive, incidental or consequential), including loss of profit; loss of revenue; loss of time; loss of anticipated savings; loss of opportunity; loss or corruption of data; loss of use; loss of business; wasted expenditure; loss of or damage to physical property; business interruption; loss of or damage to goodwill, which may arise in relation to the Award, whether or not the Organiser were advised in advance of the possibility of such loss.
在適用法律所容許的最大範圍內,主辦機構對參賽者不承擔任何主辦機構已被告知或未被告知可能因TERA-Award而引起的賠償責任(即使是合同內)、侵權責任(包括過失)、違反法定職責責任,或其他任何損失、損害、費用或支出(包括基本、特殊、間接、直接、名義、懲罰、附帶或從屬性的損失),包括利潤損失、收益損失、時間損失、預期儲備損失、機會損失、數據損失或毀壞、使用損失、業務損失、開支浪費、財物損失或毀壞、營業中斷、商譽損失或貶損。

The Organiser may from time to time update these Terms and the Personal Information Collection Statement by posting on the TERA-Award’s website with or without cause and notice, and with no liability to any person including but not limited to the applicants. Amended versions of these Terms and the Personal Information Collection Statement will take effect on the date specified for the amended version. Applicants shall regularly check the TERA-Award’s website for updates and applicants’ continued participation in the Award constitutes the acceptance of the updated Terms and Personal Information Collection Statement.
不論是否有原因和另行通知的情況下,主辦機構可能會不時於TERA-Award網站中更新本條款及個人資料收集聲明,且不對任何人士(包括但不限於參賽者)承擔責任。更新後的本條款及個人資料收集聲明將根據載於相關新版本的本條款及個人資料收集聲明中的列明的日期生效。參賽者須定期到訪TERA-Award網站查看更新版本,參賽者的持續參賽將被視作接受更新後的本條款及個人資料收集聲明。

Submission of an Entry constitutes agreement with these Terms.  Failure to comply with any part of these Terms may result in the disqualification of applicant(s) and any related Entry and, in such event, any awards granted must be returned to the Organiser.  The Organiser shall be subject to all applicable laws and regulations and is void where prohibited.
參賽作品一經提交,即表示參賽者同意本條款。如違反本條款的任何部分可能導致參賽者及其有關的參賽作品被取消資格,在這情況下已頒發的獎項必需歸還主辦機構。主辦機構受所有適用法律及法規約束;如適用法律禁止的情況下則有關條款不具法律效力。

To the extent permitted by applicable law, the Organiser and applicants hereby waive any provision of law that would render any clause of these Terms invalid or otherwise unenforceable in any respect. In the event that a provision of these Terms is held to be invalid or otherwise unenforceable, such provision will be interpreted to fulfill its intended purpose to the maximum extent permitted by applicable law, and the remaining provisions of these Terms will continue in full force and effect.
在適用法律所容許的範圍內,主辦機構及參賽者在此放棄任何會使本條款的任何條文在任何方面無效或不可執行的法律條款。如本條款的任一條文被裁定無效或不可執行,該條文將在適用法律所容許的最大範圍內按照其預期目的被解釋,而本條款的其他條文將持續完全有效。

xxiii

The Organiser reserve the right to assign or transfer part or all of its interests, rights, and obligations under these Terms to one or more affiliate companies of its. The Organiser will notify applicants should such transfer or assignment occurs.
主辦機構保留轉讓或轉移本條款下的任何權益、權利及義務給其一家或多家關聯公司,而主辦機構將在發生有關的轉讓或轉移時通知參賽者。

xxiv

These Terms are governed by the laws of Hong Kong Special Administrative Region and you agree that any dispute shall be subject to the exclusive jurisdiction of the courts of Hong Kong Special Administrative Region. The Award may be restricted in certain jurisdictions by law, it is the applicant responsibility to find out what those restrictions are and to observe them.
本條款受香港特別行政區法律管轄,您同意任何爭議須受香港特別行政區法院的專屬管轄權所管轄。TERA-Award在某些司法管轄區可能受到法律限制,而找出和遵守這些限制是參賽者責任。

If there is any inconsistency between the Chinese and English versions of this Disclaimer, Terms and Conditions, the English version shall prevail.
免責聲明、條款及細則的中文和英文版本如有抵觸,將以英文版本為準。
